1. About the Service

Social Orbix is a software platform that helps creators, influencers, and businesses automate Instagram engagement, manage direct messages and comments, capture leads, and operate messaging workflows connected to Meta platforms.

Features may include, as we make available:

• Connecting Instagram Business accounts through Meta authorization
• Configuring keyword-based and event-based automations (comments, story replies, live comments, direct messages)
• Sending automated or manual replies through Instagram messaging and comment APIs
• Viewing activity logs, delivery status, and automation history
• Workspace management for organizing connected accounts and team access
• Embedding or displaying Facebook, Instagram, and Threads content on other websites where supported

We may add, change, or remove features at any time. Beta or early-access features may be incomplete or change without notice.

2. Eligibility

You must:

• Be at least 18 years old (or the minimum age required in your jurisdiction to enter a binding contract and use business social tools)
• Have the legal authority to enter these Terms on behalf of yourself or the organization you represent
• Provide accurate registration information and keep it up to date
• Comply with these Terms, our Privacy Policy, and all applicable laws

If you use the Service on behalf of a business, you represent that you have authority to bind that business to these Terms.

3. Cookies

We use cookies and similar technologies as described in our Privacy Policy at https://socialorbix.com/privacy.

By accessing Social Orbix, you agree to our use of cookies in accordance with that policy. Most interactive websites use cookies to retrieve user details for each visit and to enable functionality in certain areas. If you refuse cookies, some parts of the Service may not work properly.

4. Account Registration and Security

4.1 Account creation

To use most features, you must create an account with a valid email address and password. We may require email verification through a one-time password (OTP) or similar method.

4.2 Account security

You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activity that occurs under your account
• Notifying us promptly at legal@socialorbix.com if you suspect unauthorized access

We are not liable for losses caused by unauthorized use of your account where you failed to safeguard your credentials.

5. Instagram and Meta Integration

5.1 Authorization

Certain features require you to connect an Instagram Business account through Meta's authorization flow. By connecting an account, you grant Socialorbix permission to access and use Instagram data as needed to provide the Service, within the scopes you approve, which may include:

• instagram_business_basic
• instagram_business_manage_comments
• instagram_business_manage_messages

5.2 Your responsibilities

You agree that:

• You own or have lawful permission to manage the Instagram account you connect
• You will comply with Meta's Terms of Service, Instagram Terms of Use, Community Guidelines, Platform Terms, and all applicable Developer Policies
• You are solely responsible for the content of messages, replies, and automations sent through your connected accounts
• You will not use the Service in any way that violates Meta's rules or causes us to violate them
• You will maintain any business verification, app review approvals, or permissions required by Meta for your use case

5.3 Disconnection and access revocation

You may disconnect an Instagram account at any time through the Service or through your Meta account settings. We may suspend or disconnect integrations if required by Meta, if tokens expire or are revoked, or if we detect misuse.

6. Acceptable Use

You agree not to:

• Use the Service for unlawful, fraudulent, deceptive, or harmful purposes
• Send spam, unsolicited bulk messages, or messages that violate anti-spam laws
• Harass, threaten, defame, or abuse others
• Impersonate any person or entity, or misrepresent your affiliation
• Collect or harvest personal data from end users without a lawful basis and appropriate notices
• Attempt to bypass rate limits, security controls, or Meta API restrictions
• Reverse engineer, scrape, or interfere with the Service except as permitted by law
• Upload malware or attempt to gain unauthorized access to our systems or third-party accounts
• Use the Service to distribute illegal content, hate speech, or content that infringes intellectual property or privacy rights
• Resell or sublicense the Service except as expressly allowed in a separate written agreement

We may investigate violations and suspend or terminate accounts that breach these Terms.

7. Automations, Messaging, and Compliance

7.1 Your control

You configure automations, keywords, triggers, and message content. Socialorbix provides the tools; you decide how they are used.

7.2 Messaging rules

You are responsible for complying with:

• Instagram and Meta messaging policies, including rules about promotional content, opt-outs, and permitted message types
• Applicable marketing, privacy, and consumer protection laws (including requirements for consent, disclosures, and opt-out mechanisms where required)
• Any industry-specific regulations that apply to your business

7.3 End users

People who interact with your Instagram account through automations may have rights under applicable privacy laws. You are responsible for providing appropriate notices to your audience and responding to their requests where you are the data controller.

7.4 No guarantee of delivery

Social Orbix includes features designed to improve message delivery and recovery, but we do not guarantee that every message will be delivered. Delivery may fail due to Meta restrictions, user privacy settings, rate limits, account status, 24-hour messaging windows, or other factors outside our control.

8. Pricing and Access

8.1 Currently free

Social Orbix is currently provided free of charge. You can create an account, connect Instagram Business accounts, and use available features without payment. We do not collect payment information, process payments, or charge fees at this time.

8.2 No payment obligation

Because the Service is free, there are no subscriptions, invoices, billing cycles, or refunds applicable to your current use.

8.3 Future paid plans

We may introduce paid plans, usage limits, or premium features in the future. If we do, we will update these Terms and provide clear notice before any charges apply. Continued use of paid features after that notice will be subject to the pricing and payment terms presented at that time.

9. Intellectual Property and Website License

9.1 Our property

Unless otherwise stated, Socialorbix and/or its licensors own the intellectual property rights for all material on Social Orbix, including software, design, branding, documentation, and content we provide (excluding your content and data). All intellectual property rights are reserved.

9.2 Limited license to you

You may access the Service for your own business use subject to these Terms. You must not:

• Republish material from Social Orbix
• Sell, rent, or sub-license material from Social Orbix
• Reproduce, duplicate, or copy material from Social Orbix for commercial redistribution
• Redistribute content from Social Orbix except as expressly permitted

9.3 Your content

You retain ownership of content you submit to the Service, including automation messages, business information, and materials you upload. You grant us a worldwide, non-exclusive license to host, store, process, transmit, and display your content solely to operate and improve the Service.

9.4 Feedback

If you provide suggestions or feedback, you grant us the right to use it without restriction or compensation.

10. Publicity and Use of Name

By using our Service, you grant Socialorbix the right to use your name, business name, logo, social media handle, profile image, and publicly available usage data (such as follower count or engagement metrics, where available) for marketing and promotional purposes.

This may include featuring you on our website, social media, presentations, or other promotional materials to indicate that you use or have used our Service.

11. Website Use Restrictions

Without prior written permission, you may not:

• Create frames around our webpages that alter the visual presentation or appearance of our website

• Link to our website in a deceptive manner or in connection with unlawful or harmful content

We reserve the right to request removal of any link or reference to our website that we consider inappropriate or misleading.

13. Third-Party Services

The Service integrates with third-party platforms, including Meta (Facebook and Instagram). Your use of those platforms is governed by their own terms and policies. We are not responsible for third-party services, outages, policy changes, or data practices.

14. Service Availability and Modifications

We strive to keep the Service available, but we do not guarantee uninterrupted or error-free operation. The Service may be unavailable due to maintenance, updates, infrastructure issues, or factors outside our control (including Meta API outages).

We may modify, suspend, or discontinue any part of the Service at any time. Where reasonable, we will provide notice of material changes that adversely affect users.

We do not ensure that all information on the website is complete or accurate at all times, and we do not promise that the website will remain available without interruption.

15. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, THAT MESSAGE DELIVERY WILL SUCCEED, THAT AUTOMATIONS WILL GENERATE ANY SPECIFIC BUSINESS RESULT, OR THAT THE SERVICE WILL BE SECURE OR ERROR-FREE.

Nothing in this disclaimer will:

• Limit or exclude our or your liability for death or personal injury
• Limit or exclude our or your liability for fraud or fraudulent misrepresentation
• Limit any liabilities in any way that is not permitted under applicable law
• Exclude any liabilities that may not be excluded under applicable law

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• SOCIALORBIX WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE.
• OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (USD $100), SINCE THE SERVICE IS CURRENTLY PROVIDED FREE OF CHARGE. IF WE INTRODUCE PAID PLANS IN THE FUTURE, THIS LIMIT MAY BE UPDATED TO REFLECT AMOUNTS PAID FOR THE SERVICE.

The limitations above are subject to the preceding disclaimer paragraph and govern all liabilities arising under these Terms, including liabilities arising in contract, tort, and for breach of statutory duty.

SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

17. Indemnification

You agree to defend, indemnify, and hold harmless Socialorbix, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

• Your use of the Service
• Your automations, messages, and content
• Your connected social accounts
• Your violation of these Terms or applicable law
• Your violation of Meta, Instagram, or third-party rights

18. Suspension and Termination

18.1 By you

You may stop using the Service at any time. You may delete your account as described at https://socialorbix.com/data-deletion.

18.2 By us

We may suspend or terminate your access immediately if:

• You breach these Terms
• We are required to do so by law or by Meta
• Your use poses a security risk or harms other users or our systems

18.3 Effect of termination

Upon termination:

• Your right to use the Service ends
• Connected integrations may be disabled
• We may delete or retain your data as described in our Privacy Policy and Data Deletion instructions

Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) will survive.

19. Dispute Resolution and Governing Law

These Terms are governed by the laws of India, without regard to conflict of law principles, except where mandatory local consumer protection laws apply in your country of residence.

Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in India, unless applicable law requires otherwise.

Before filing a formal legal claim, you agree to contact us at legal@socialorbix.com and attempt to resolve the dispute informally.

20. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page. If changes are material, we may provide additional notice (such as by email or in the Service) prior to the change becoming effective.

Your continued use after the effective date constitutes acceptance of the updated Terms.

21. General

21.1 Entire agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Socialorbix regarding the Service.

21.2 Severability

If any provision is found unenforceable, the remaining provisions remain in effect.

21.3 No waiver

Our failure to enforce a provision is not a waiver of our right to do so later.

21.4 Assignment

You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
